Terms and conditions for joining the GoosyWorld affiliate program

By applying for and/or entering a GoosyWorld.com affiliate partnership agreement with Celander US Inc. (hereinafter called "Celander") I, the Company applying, and/or a person or an entity in any other form (hereinafter called the Company), hereby agrees to the following terms and conditions:

Commence and termination
The partnership shall commence on the effective date above and shall continue until any of the parties terminates it. Either Party has a right to terminate the partnership without a cause with a one (1) month written notice.

Either party shall be entitled to cancel the partnership immediately, if the other Party is materially in breach of the terms of this agreement or the terms and conditions stated on GoosyWorld.com website.

Upon termination or cancellation of this agreement company shall cease to use content for any purpose and promptly delete content from any files and data storages and provide Celander US Inc. with a written certificate, certifying that the same has been done.

License fees and market/sites
Celander US Inc. delivers a link with a personal affiliate ID for tracking purpose. Company  incorporates the link on the website stated in the registration form. If Company uses the ID link on any other website they must report URL and territory to Celander within 7 days.

The Company receives 50% of the Net revenue received by Celander, after billing and service fees are applied.

Obligations of Celander
Celander US Inc. creates a digital monthly settlement report containing all sales at the particular affiliate channel and the total revenue share to be invoiced by the company. Such report will be provided within 45 days of the end of each calendar month. Mobile payments will have a 90-120 days delay due to the operator's billing cycle.

Payment can be done by bank wire transfer or by US check. If wire transfer is chosen, Company/Beneficiary covers all costs due to the wire transfer. If the total amount is less than 500 USD/400 EUR, the total amount will be transferred for payment during next month, until the total payout reaches the payment limit of 500USD/400 EUR.

Celander US Inc. delivers available marketing materials, such as banners, Gif animations etc.

Obligations of the Company
Company shall incorporate the received affiliate ID, on their website. Any other use or modification to the link of any kind is strictly prohibited. Upon final and cleared settlement reports, Company must send a digital invoice to Celander with a payment due date of 60 days. Company will hold all their own expenses regarding the setup and fulfilment of this agreement, Celander can not be charged at any level.

Property rights and license
Celander or/and its partners shall be the sole and exclusive owner of all intellectual property rights, including and without limitation any and all patents, utility models, trademarks, rights in designs, trade, business or domain names, know-how, rights in databases and copyrights, rights in inventions, ideas, concepts, trade secrets and other confidential information, in and to content delivered under this Agreement.

Celander grants Company for the term of this Agreement a non-exclusive, non-transferable right to market the GoosyWorld.com content to its end users, within the territory defined, and with no rights to sublicensing. Company shall at all times declare that content is the property of Celander.

Company shall not modify or make any changes to the content and shall at all times use the Content in accordance with the applicable laws and regulations. Company shall at all times follow the guidelines and instructions of Celander for the presentation of the above mentioned trademarks, trade names or logos.

Definitions
Net proceed is defined as: The revenue received by Celander regarding GoosyWorld.com subscription and credit revenue, after VAT, local tax, operator, billing and service fees are deducted.

The service fee is stated as: a fixed fee of 20% of the revenue after VAT, local tax, operator and billing fee, before revenue sharing. The service fee includes download discrepancy between GoosyWorld's affiliate tracking system and the operator and credit card companies' settlement reports. Discrepancy can be a result of payment errors, payment returns and other failures that results in incongruous reports. Costs for hosting, technical setup, software and hardware upgrades, maintenance and developments can also be part of the service fee. Celander reserve the right to change the service fee, due to an increase or decrease in the above mention numbers, without prior notice.

All fees are exclusive of value added tax, which shall be added to the invoices according to the applicable area tax rules and regulations. All details, materials and reports are done/sent electronically.

Liability
When entering this affiliate agreement, you agree to indemnify and hold harmless Celander, its officers and employees, from and against any claims, liabilities, losses, costs, damages or expenses (including legal fees) arising from your use of Celander's content or the information contained therein. Celander is not responsible for any wrongful data, system errors or any reporting errors, in its own or any third party systems. If such an incident should occur, Celander will make any reasonable and possible attempt to have the errors corrected as soon as possible.

GoosyWorld.com reserve the right to change these terms and conditions at any time, without prior notice.
